Terms of Service
These Terms of Service ("Terms") govern your use of quickmailsolutions.com (the "Website") and the marketing services provided by Quickmail Solutions LLC, a Wyoming limited liability company ("Quickmail Solutions", "we", "us"). By using the Website or purchasing our services, you agree to these Terms.
1. Our services
We provide digital marketing services, including marketing strategy, lead generation, CRM and customer retention programs, content and copywriting, and analytics and reporting. The scope, deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or service agreement (an "Agreement"). If an Agreement conflicts with these Terms, the Agreement prevails.
2. Your responsibilities
- Give us accurate information, timely feedback and the access we need to perform the work.
- Make sure that any content, trademarks and data you supply are yours to use or properly licensed.
- Make sure that any customer or contact data you supply was collected lawfully, with any consent the law requires.
- Make sure that your products, offers and claims comply with the laws and platform policies that apply to them.
We may decline or stop work that we reasonably believe breaks the law, infringes third-party rights or violates the policies of an advertising or communication platform.
3. Fees and payment
Fees are stated in US dollars unless the Agreement says otherwise. Invoices are due within 14 days of the invoice date. We may pause work on overdue accounts after giving you written notice. Refunds are governed by our Refund Policy.
4. Intellectual property
Once you have paid in full, you own the final deliverables we create specifically for you. We keep ownership of our pre-existing materials, templates, methods and know-how, and we grant you a non-exclusive license to use any of them that are included in your deliverables. Unless you tell us otherwise in writing, we may mention your company name as a client.
5. Confidentiality
Each party will keep the other party's non-public business information confidential and use it only to perform the engagement. This obligation does not apply to information that is public, was already known, or must be disclosed by law.
6. No guarantee of results
We perform our services with reasonable skill and care. Marketing results depend on factors outside our control, so we do not guarantee specific outcomes such as leads, sales, rankings or revenue unless an Agreement expressly says so.
7. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising from any engagement is limited to the fees you paid us for that engagement in the 3 months before the claim arose.
8. Use of the Website
The Website and its content are provided for general information on an "as is" basis. You may not copy or reuse the Website's content for commercial purposes without our written permission, or use the Website in any way that harms it or its users.
9. Termination
Either party may end an engagement as set out in the Agreement or, if the Agreement is silent, with 30 days' written notice. Either party may end an engagement immediately if the other party materially breaches these Terms and does not fix the breach within 14 days of written notice. Sections 4, 5, 7 and 10 continue to apply after termination.
10. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute in good faith by email. If that fails, the dispute will be decided by the state or federal courts located in Wyoming.
11. Changes
We may update these Terms from time to time. The version in effect when you sign an Agreement applies to that Agreement.
